Tesla CEO Elon Musk is being sued by the Securities and Exchange Commission.

The SEC’s complaint, which was filed earlier today in Federal District Court in the Southern District of New York, seeks a finding that Musk committed securities fraud, an injunction prohibiting him from doing so in the future, civil penalties, disgorgement of any ill-gotten gains, and a bar prohibiting Musk from serving as an officer or director of a public company in the future.

And it’s all because of this August 7th tweet.

After Musk’s tweet, Tesla stock shot up nearly 9%. It has declined substantially since then.

According to the SEC, Musk didn’t consult any board members, employees, or outside advisers before sending the tweet.

We alleged that Musk’s statements were false and misleading because they lacked any basis in fact.

Less than three weeks after the tweet, Musk abandoned his plan to take Tesla private. The SEC says Musk had not actually secured funding.
在这条推文发布不到三周后，马斯克放弃了将特斯拉私有化的计划。证交会表示，马斯克实际上并没有获得融资。

Musk says that comment was based on talks with Saudi Arabia’s sovereign wealth fund. He said the fund had urged him to take the company private and offered to increase its investment.

This unjustified action by the SEC leaves me deeply saddened and disappointed. I have always taken action in the best interests of truth, transparency and investors. Integrity is the most important value in my life and the facts will show I never compromised this in any way.
